Welcome to MedAssistant! MedAssistant is a software platform for the collection, processing, and presentation of structured information (the “Platform”) developed by Produits MedAssistant Inc. (“MedAssistant”). The Platform may be used to: - create, configure, send, and complete clinical or administrative questionnaires; - collect and organize responses provided by patients, healthcare professionals, and authorized members of their organization; - use artificial intelligence (“AI”) features to transcribe audio recordings made during a consultation or another authorized activity into text; - generate summaries, reports, or draft notes from the information provided, which the user must review and approve before any clinical use. Authorized users include healthcare professionals, staff members who have been granted access, and patients or service users who have been invited to complete a questionnaire. MedAssistant may generate de-identified and aggregated statistics regarding the use and operation of the Platform, such as feature usage volume, technical performance, and errors. These statistics must not directly identify an individual and are not used to create an individual behavioural profile. PLEASE READ THESE TERMS OF USE CAREFULLY BEFORE ACCESSING THE PLATFORM. BY USING THE PLATFORM, YOU AGREE TO BE BOUND BY THESE TERMS OF USE. IF YOU DO NOT AGREE WITH THESE TERMS OF USE, YOU MUST NOT USE THE PLATFORM. TERMS AND CONDITIONS Licence to use: Subject to compliance with these Terms, MedAssistant grants the user a limited, revocable, non-exclusive, non-transferable, and non-sublicensable licence to access and use the Platform solely for authorized professional purposes. These Terms constitute the applicable licence agreement and may be saved or printed by the user. Intellectual property: All intellectual property rights, including copyrights and trademarks, are owned by MedAssistant and its suppliers. Governing law and jurisdiction: These Terms are governed by and interpreted in accordance with the applicable laws of the Province of Quebec and the federal laws of Canada applicable therein. Any dispute relating to these Terms or the use of the Platform is subject to the jurisdiction of the competent courts of the Province of Quebec. PRIVACY AND SECURITY Protection of personal information: MedAssistant protects the personal information of users and of patients or service users whose information is processed through the Platform. Information is processed in accordance with applicable laws, including the Act respecting the protection of personal information in the private sector, the Act respecting Access to documents held by public bodies and the Protection of personal information, the Act respecting health and social services information and, where applicable, the Personal Information Protection and Electronic Documents Act. Roles of the parties: The user and the organization granting the user access to the Platform remain responsible for determining the purposes for which the information they enter into the Platform is collected and used. MedAssistant acts as a service provider and processes this information solely to provide, secure, maintain, and improve the services, in accordance with authorized instructions and applicable agreements. Consent and authorization: Before collecting, recording, transmitting, or processing personal information, including health information and audio recordings, the user must ensure that they have the required legal authority, obtain any necessary consent, and provide all notices required to the individuals concerned. Ownership and control of information: Use of the Platform does not transfer to MedAssistant any ownership of, or legal control over, the information provided by the user or the user’s organization. MedAssistant acquires no rights in this information other than the limited rights necessary to provide the services and comply with its legal obligations. Use of information: MedAssistant collects, uses, and discloses information solely for purposes necessary to provide, secure, maintain, and improve the Platform, in accordance with applicable agreements and the law. MedAssistant does not sell personal information, use it for advertising or commercial profiling, or use it to train general-purpose AI models, except with express authorization that complies with the law. Information security: MedAssistant applies administrative, technical, and physical safeguards proportionate to the sensitivity of the information, including encryption of data in transit and at rest, role-based access controls and the principle of least privilege, individual accounts, logging of relevant access and activities, backups, vulnerability management, periodic security testing, and data retention and deletion mechanisms. Privacy incidents: MedAssistant maintains a process for detecting, containing, analyzing, documenting, and managing privacy incidents, including unauthorized access, use, or disclosure, loss of personal information, or any other breach of its protection. MedAssistant notifies the client organization within a reasonable period after confirming an incident involving that organization and makes any reports and notifications required by law. The user must immediately report any suspicious situation, preserve information relevant to the investigation, and cooperate in assessing the risk of harm and implementing corrective measures. Audit and compliance: MedAssistant conducts periodic internal reviews and, where required, arranges independent external assessments, including vulnerability assessments and penetration tests. These activities may cover access controls, logging, backups, incident management, vendor management, data retention and deletion, and the remediation of identified vulnerabilities. Limited access and confidentiality: Access to information is limited to employees, representatives, and subcontractors who require it to perform their authorized duties. These individuals are subject to written confidentiality commitments, appropriate security obligations, and, depending on their roles, awareness or training activities. USER CONTENT AND CONDUCT Restrictions on use: The user must not copy, modify, distribute, sell, or lease the software or any part of it without MedAssistant’s written authorization. User responsibility: The user is responsible for all actions performed through the Platform and must comply with all applicable laws. The user also agrees to provide accurate, complete, and up-to-date information at all times when using the Platform and acknowledges that inaccurate information may affect the quality of the services provided. Limitation of liability: To the extent permitted by law, MedAssistant shall not be liable for any indirect, incidental, special, exemplary, or consequential damages resulting from the use of, or inability to use, the Platform. Nothing in these Terms excludes or limits any liability that cannot be excluded or limited by law. Responsibility for the use of AI: The user must process through the AI features only the information necessary for an authorized clinical or administrative purpose. The user must comply with applicable confidentiality and professional conduct requirements, limit the information entered to what is relevant, and ensure that all required consents or authorizations have been obtained. AI-generated results, including transcriptions, summaries, reports, and draft notes, may be inaccurate, incomplete, or inappropriate. The user must review, correct, and approve them before adding them to a record, communicating them, or relying on them in connection with a clinical decision. In the event of an error, the user must correct or delete the inaccurate content and report to MedAssistant any anomaly that may constitute a security or privacy incident. The user must not ask the AI to infer sensitive characteristics or information that is not necessary for the provision of care, unless that use is clinically justified, authorized, and compliant with the law. Account email address: The user must provide a valid and current email address that is under the user’s control. The use of a professional email address assigned by the organization is strongly recommended. Any change to the email address, where permitted, must be made through MedAssistant’s secure process in order to maintain the integrity and security of the account. THE PLATFORM IS A SUPPORT TOOL AND DOES NOT PROVIDE A DIAGNOSIS, AN AUTONOMOUS CLINICAL RECOMMENDATION, OR A PROFESSIONAL OPINION. IT DOES NOT REPLACE THE JUDGMENT, ASSESSMENT, VALIDATION, OR OBLIGATIONS OF A HEALTHCARE PROFESSIONAL. THE USER REMAINS FULLY RESPONSIBLE FOR THE INTERPRETATION AND USE OF THE INFORMATION AND RESULTS GENERATED BY THE PLATFORM. TERMINATION POLICY Term and termination: The licence to use the Platform remains valid until terminated by the user or MedAssistant. A user may terminate it at any time by notifying MedAssistant in writing. MedAssistant may also terminate it at any time by notifying the user in writing. Termination takes effect immediately upon delivery of the termination notice. CHANGES TO THE TERMS OF USE Updates and technical support: MedAssistant may provide updates and technical support for the Platform at its sole discretion. Amendments: MedAssistant may amend these Terms to reflect changes to the Platform, its practices, or legal requirements. The current version is published on its website or made available through the Platform. Users will be notified of any material change before it takes effect or within the period required by law.
